I assume you mean California Cor****ations Code (or Statutes). When I see
"articles of incor****ation" I typically take that to mean the do***ents
filed for a specific cor****ation. This appears to be the online site for
said code:

"Foreign cor****ation" is one of the terms you need to use in searches. I
believe the relevant section you seek is section 2115 (about half way
down) on this page:
http://www.leginfo.ca.gov/cgi-bin/displaycode?section=corp&group=02001-03000&file=2100-2117.1
Take care to note exceptions to applicability noted on that page.
