New to Business Consulting

Hi all,

Just joined and have been reading through most of the posts.  I recently 
"raised my right hand and declared myself a konsultant" and have with the 
help of a friend I already have a potential client.  The client wants me
to 
come in and redo their entire marketing, operation, and management
strategy 
and plans.  As I've stated I'm brand new to the field of consulting (don't

even know what type of consulting field you would classify this as) so of 
course I have first time jitters and lot's of questions and a few of my 
questions are as follows.

1) After I've interviewed the client how do I go about putting the
proposal 
together?
2) How do I go about coming up with a fair and accurate price?
3) How do I come up with and layout the contract?
4) Is it common practice to charge for my time putting together a
proposal?

I'm sure there are many more things that I may be missing.  Any help you
can 
provide would be greatly appreciated.
